1. Agreement & Acceptance
These Terms of Service ("Terms") govern your access to and use of the MIVALDI platform ("MIVALDI", "the Platform", "we", "us"), including the website at mivaldi.com, the Agency Master Hub, portfolio subdomains, comp-card generation, media processing and all related services (collectively, the "Service"). The Service is operated by MIVALDI SAS, a company registered in Paris, France.
By creating an account, subscribing to a plan, or otherwise accessing the Service, you ("Customer", "Agency", "Talent", "you") agree to be bound by these Terms and by our Privacy Policy and Data Processing Agreement, which are incorporated by reference. If you are entering into these Terms on behalf of a company or agency, you represent that you have authority to bind that entity.
2. The Service
MIVALDI is an ultra-luxury multi-tenant portfolio platform for the high-fashion industry. The Service includes, without limitation:
- Bespoke portfolio websites for models and talent, delivered on dedicated subdomains or custom domains with automatic TLS (SSL) certificates;
- Dynamic aspect-ratio framing, WebP/AVIF media processing and edge-cached delivery of images and video;
- Automated comp-card generation and print-ready export;
- A white-label Agency Master Hub for roster, billing and tenant orchestration;
- Analytics, booking requests and contact forms.
We may evolve, improve or discontinue parts of the Service at any time. Material changes to core functionality will be announced at least 14 days in advance wherever commercially reasonable.
3. Accounts & Eligibility
You must be at least 16 years old to use the Service. Where portfolio content depicts a person under 18 years of age, the account holder warrants that they hold valid parental or guardian consent for publication, including image rights, in every jurisdiction where the portfolio is accessible.
You are responsible for safeguarding your account credentials and for all activity under your account. You agree to provide accurate, current information and to notify us immediately at security@mivaldi.com of any suspected unauthorized use.
4. Subscriptions, Fees & Billing
Plans are offered on the pricing page (currently Starter Talent at €19/month, Pro Model at €49/month, Agency Master at €299/month) and may change with 30 days' notice. Fees are invoiced in euros; applicable VAT is added at the statutory rate and itemized on each invoice.
Subscriptions renew automatically at the end of each billing cycle. You may upgrade, downgrade or cancel at any time from the Agency Hub or by contacting billing@mivaldi.com; cancellation takes effect at the end of the paid cycle. Downgrades may reduce available storage or features; content exceeding a lower tier's limits may be archived after a 30-day grace period.
Overdue invoices may result in suspension of the Service. Suspended portfolios are restored within 24 hours of full payment. Chargebacks without good faith dispute resolution may lead to termination.
5. Acceptable Use
You agree not to use the Service to:
- Upload, publish or distribute content that is unlawful, defamatory, obscene, or that violates the rights of any third party;
- Publish imagery of any person without their consent (or parental consent where required) or in breach of applicable publicity and image rights;
- Infringe copyrights, trademarks, or other intellectual property, including using images without a valid licence or model release;
- Attempt to breach tenant isolation, probe the platform's security, or access data belonging to other tenants;
- Use the Service for phishing, spam, malware distribution, or any activity that degrades the Service for others;
- Resell or white-label the Service to third parties outside the scope of your plan.
We reserve the right to remove content or suspend accounts that violate these Terms, with notice where lawful.
6. Content & Image Rights
You retain all rights to the content you upload ("Your Content"). By uploading Your Content you grant MIVALDI a limited, non-exclusive, worldwide, royalty-free licence to store, process, transform (including resizing, format conversion and edge caching) and publicly display Your Content solely as necessary to operate the Service on your behalf, including delivery to visitors of your portfolio.
You represent and warrant that you hold all necessary rights, licences, releases and consents for every image, video and text you publish, and that publication does not violate applicable law. You agree to maintain documentation of such rights (model releases, licence agreements) and to provide it to us on reasonable request.
If you believe content on the Service infringes your rights, contact legal@mivaldi.com with the URL and a statement of your claim. We process valid notices promptly and in accordance with applicable law (including DMCA where applicable).
7. Multi-Tenant Platform
Each tenant receives an isolated environment: dedicated database, dedicated storage namespace and dedicated subdomain or domain configuration. You must not attempt to access another tenant's environment. We implement technical isolation (database partitioning, per-tenant media namespaces, hardened reverse-proxy rules) and monitor for cross-tenant access attempts.
8. Third-Party Services
The Service may load resources from third parties, including Google Fonts and video platforms such as YouTube or Vimeo where you embed external media. Use of those resources is subject to their respective terms. We are not responsible for the availability or content of third-party services.
9. Intellectual Property
The Platform itself — its software, design system, templates, marks and documentation — is the exclusive property of MIVALDI SAS. Subject to these Terms and your plan, we grant you a limited, non-transferable licence to use the Platform and to use MIVALDI branding solely in accordance with our Brand Assets Guidelines.
10. Termination
You may terminate your account at any time by deleting it in the Agency Hub. We may suspend or terminate access for breach of these Terms, fraud, or non-payment after reasonable notice. Upon termination, Your Content is retained for 30 days to allow export, after which it is deleted, subject to our legal retention obligations.
11. Disclaimers & Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE EXTENT PERMITTED BY LAW. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
To the maximum extent permitted by law, MIVALDI's aggregate liability for all claims arising out of these Terms is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, or for loss of revenue, goodwill, or data, except where liability cannot be limited under applicable law (including French consumer law where it applies).
12. Governing Law & Disputes
These Terms are governed by the laws of France. Courts of Paris shall have exclusive jurisdiction, subject to mandatory consumer protections. We will seek to resolve disputes amicably before formal proceedings; contact legal@mivaldi.com first.
13. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email and on the Platform at least 14 days before they take effect. Continued use after that date constitutes acceptance.
